TERMS OF USE

1.1 Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of Noteastic’s Services (the “Services”). By creating an account or otherwise using the Services, you agree to be bound by these Terms, our Privacy Notice, and all applicable laws.

1.2 Eligibility

  1. Age Requirement: You must be at least 16 years old to create an account and use Noteastic without parental or guardian consent.
  2. Compliance: You agree to comply with all local, state, national, and international laws, rules, and regulations applicable to your use of the Services.

1.3 User Accounts and Subscriptions

  1. Account Registration: You must provide accurate and complete information when creating an account, or when signing in via external services.
  2. Free Trial & Subscription: After a free trial (if offered), continued use of Noteastic requires a paid subscription via Stripe.
  3. Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

1.4 User Responsibilities and Conduct

  1. User-Generated Content: You are solely responsible for the content (notes, documents, images, etc.) you upload or create in Noteastic. You represent and warrant that you have all necessary rights to the content you upload, and that such content does not violate any third-party rights or applicable laws.
  2. Prohibited Activities: You agree not to:
    • Use the Services for any unlawful purposes.
    • Upload content that is abusive, defamatory, obscene, or infringes intellectual property rights.
    • Attempt to gain unauthorized access to other users’ accounts or Noteastic’s systems.
    • Distribute viruses or other harmful code.
  3. Sensitive Data: If you choose to store sensitive data in your notes, you do so at your own risk. Noteastic is not responsible for any consequences arising from such storage.

1.5 Intellectual Property

  1. Noteastic Materials: All content, trademarks, and other materials available through the Services (excluding user-generated content) are the property of Noteastic or its licensors and are protected by intellectual property laws.
  2. Limited License: Noteastic grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal or internal business purposes in accordance with these Terms.

1.6 Payment and Refunds

  1. Subscription Fees: Subscription fees are processed via Stripe. You agree to pay all applicable fees in connection with your use of the Services.
  2. Changes to Pricing: We may change subscription fees from time to time. We will notify you before changes are applied.
  3. Refunds: Refunds, if applicable, will be handled in accordance with our refund policy or Stripe’s policies.

1.7 Limitation of Liability

  1. No Liability for User Content: Noteastic assumes no liability for the content you upload or share. You use the Services at your own risk.
  2. No Warranties: To the maximum extent permitted by law, Noteastic disclaims all warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  3. Indirect Damages: Under no circumstances will Noteastic be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of the Services.
  4. Maximum Liability: In any event, Noteastic’s total liability to you for all claims arising out of or related to the Services will not exceed the total amount paid by you to Noteastic in the 12 months preceding the claim.

1.8 Indemnification

You agree to defend, indemnify, and hold harmless Noteastic, its affiliates, and their respective officers, employees, and agents from all liabilities, claims, or expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or your use of the Services.

1.9 Governing Law and Dispute Resolution

  1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to conflict-of-law principles.
  2. Exclusive Jurisdiction: Any disputes arising out of or in connection with these Terms, or the Services, shall be subject to the exclusive jurisdiction of the courts located in Vienna, Austria. You consent to the personal jurisdiction of those courts.

1.10 Termination

  1. Termination by You: You may delete your account at any time. Upon termination, your right to use the Services will cease.
  2. Termination by Noteastic: We may suspend or terminate your access to the Services if you violate these Terms or if we decide to discontinue the Services.
  3. Data Deletion: Upon account termination, your personal data will be handled in accordance with our Privacy Notice. You may request data deletion by contacting privacy@noteastic.app.

1.11 Changes to Terms of Use

We may modify these Terms from time to time. If we make material changes, we will notify you by email or through the Services. Your continued use of the Services after such changes indicates your acceptance of the new Terms.
